Market Link Auctions

Terms of use.

These terms describe how Market Link Auctions operates and what is expected of everyone who uses it. They are published in draft while final legal review is completed, and the definitive versioned text will replace this page before public launch.

1. Accepting these terms

Using the platform means agreeing to them.

By creating an account, browsing auctions, placing a bid or listing an asset, you agree to these terms and to the auction rules, which form part of them. If you are acting for a company, you confirm you are authorised to bind that company. If you do not accept the terms, do not use the platform.

2. Accounts and eligibility

One verified account per person or entity.

Age and capacity
You must be of legal age and able to enter binding contracts in your jurisdiction.
Accurate information
Registration and verification details must be true, current and complete, and must be kept up to date.
Account security
You are responsible for your credentials and for all activity under your account. Tell us immediately if you suspect unauthorised access.
No account sharing
Accounts may not be transferred, sold or operated on behalf of an undisclosed third party.

3. Identity verification

A condition of bidding, not an optional extra.

Bidding requires approved identity verification. We may request additional documentation, re-verify an account at any time, and suspend or decline access where verification cannot be completed or where information appears inaccurate. Verification decisions are recorded with a reason and can be appealed by contacting us.

4. Bidding

Every bid is a binding offer.

Binding offers
Placing a bid is a binding, irrevocable offer to transact at that amount on the lot's stated terms.
No withdrawal
Bids cannot be edited or retracted. Only an administrator may invalidate a bid, with a recorded reason.
Server authority
The platform's records of amount, sequence and timing are authoritative and prevail over anything displayed on your device.
Winning obligation
If you win, you are obliged to complete the transaction and pay the total due, including tax and buyer's premium.

5. Seller obligations

You must own what you list.

Sellers warrant that they have the right to sell the asset, that the description and documentation are accurate and not misleading, and that all material encumbrances, conditions and obligations are disclosed on the lot page. Sellers must complete the transfer promptly once payment is received, and may not bid on their own lots or arrange for others to do so.

6. Fees, tax and payment

Buyer's premium and tax on top of the bid.

Winners pay the winning bid plus value-added tax and the buyer's premium shown on the lot page, in Philippine pesos. Totals are calculated by the platform at closing. Seller commissions, listing fees and settlement timelines are set out in the seller agreement provided during seller onboarding. Failure to settle within the stated period may result in cancellation of the award, forfeiture of any deposit, and suspension of the account.

7. Prohibited conduct

Conduct that undermines fair price discovery.

Shill bidding
Bidding on your own lot, or arranging for related parties to inflate or depress a price.
Collusion
Agreeing with other bidders to suppress competition or divide lots between you.
Off-platform circumvention
Contacting a counterparty to complete a platform-sourced deal outside the platform to avoid fees.
Automation and scraping
Using bots, scripts or automated tools to bid, scrape or place load on the service.
Misuse of data
Attempting to identify other bidders, or using platform information for any purpose other than participating in the auction.

8. Suspension and termination

We can pause an account or an auction.

We may suspend or close accounts, invalidate bids, cancel lots or pause bidding platform-wide where we reasonably believe these terms have been breached, where there is a security or integrity risk, or where the law requires it. Emergency actions are recorded in the audit trail with the administrator, the time and the reason.

9. Disclaimers and liability

We run the venue; we do not warrant the asset.

Market Link Auctions provides the auction venue and the process. We are not the seller, we do not take title to listed assets, and we do not warrant the accuracy of seller-supplied descriptions or the quality, legality or value of any asset. Bidders are responsible for their own due diligence. To the fullest extent permitted by law, our liability arising from use of the platform is limited to the fees we received in connection with the transaction concerned.

10. Changes and governing law

Versioned, dated and notified.

These terms may be updated. Material changes will be published with a version and an effective date, and account holders will be notified. Continued use after the effective date constitutes acceptance. The definitive terms will state the governing law and dispute resolution forum, which are pending legal confirmation.
